dc.descriptionLimited liability companies are the most preferred company type in Turkish commercial market. In the Commercial Code numbered 6762, limited liability companies were regulated much closer to the collective companies. On the other hand, in the Commercial Code numbered 6102 the regulations related to limited liability companies are more extensive and also rather different. According to the Code numbered 6762, the dismissal of the manager varied by the procedure of appointment procedure of the manager and also his or her partnership capacity. However, according to the new code, the procedure of dismissal of the managers has been completely changed and a single procedure has been envisaged. In reference to the new Code, the managers can only be dismissed by the general assembly. Nevertheless, if the quorum does not appear, any partner is entitled to demand the dismissal of the manager from the court. In this case, the court's decision depends on the existence of justified reasons. Even though so many problems occurred in practise due to the mentioned legislation, a monographic academic study which examines the problems and solutions has not been done until today. Due to this, the dissertation is written in order to examine the problems in the practise under the light of the Code, doctrine and also the Yargıtay decisions. Furthermore, it is aimed to approach to the dismissal of the manager issue from both the company and the manager's aspect. The German and Swiss Law rules regarding to the aspect were also discussed in the thesis. Key words: Limited liability company, director, manager, dismissal, just cause.en_US
dc.description.abstractLimited şirketler, Türk ticari hayatında en çok tercih edilen şirket tipidir. 6762 Sayılı TTK'da limited şirketler daha çok kolektif şirkete yakın bir tür olarak düzenlenmişti. Buna karşın, 6102 Sayılı TTK'da limited şirkete ilişkin hükümler daha kapsamlı ele alınmış ve önemli değişikliklere gidilmiştir. 6762 Sayılı eski TTK uyarınca limited şirket müdürünün azli, kolektif şirkette olduğu gibi, yöneticinin atanma usulüne ve ortak olup olmamasına göre değişkenlik göstermekteydi. Yeni kanun ile birlikte azil usulü tamamen değişerek tek bir usul geçerli hale gelmiştir. Buna göre, müdürler yalnızca genel kurul kararı ile azledilebilirler. Ancak, eğer toplantıda azil için aranan yeterli çoğunluk sağlanamazsa, ortaklardan her biri mahkemeden müdürün azlini talep edebilir. Bu talepte bulunabilmek için ise haklı sebeplerin varlığı gerekmektedir. Yapılan bu değişiklik ile birlikte, özellikle uygulamada sorunlar doğmuş olmasına karşın, Türk hukuk doktrininde bu hususun ve uyuşmazlıkların derinlemesine incelendiği monografik bir eser bulunmamaktadır. Bu nedenle çalışma uygulamaya ilişkin meseleleri de kapsayacak biçimde, Kanun, doktrin ve Yargıtay kararları bir arada değerlendirilerek hazırlanmıştır. Ayrıca, Alman ve İsviçre Hukuku da baz alınarak, limited şirket müdürünün azli hususuna hem müdür hem de şirket açısından yaklaşılmaya özen gösterilmiştir.
